Terms of Service

These Terms of Service (the "Terms") apply to your access to and use of the websites, applications, products, and services provided by Deruvish Labs, LLC.

1. Parties & Contract. These Terms govern your access to and use of our Services. By using our Services, you agree to be bound by them.
2. Services. We create and publish original web/PC/mobile games, applications, and interactive experiences. We do not offer custom software development, agency services, or third-party production work.
3. Eligibility. You must be at least 18. If you are using the Services on behalf of an entity, you represent you are authorized to bind that entity.
4. Ordering & Deliverables. Access to our published products is provided as made available by us. Any separate licensing, pilot, investment, or other commercial arrangement will be governed by a specific written agreement between the parties.
5. Fees & Taxes. Fees are due as stated in the order or statement of work. Prices exclude taxes unless stated. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
6. Intellectual Property. Unless otherwise stated in the order or statement of work: (a) we retain ownership of our pre-existing materials, tools, know-how, and original intellectual property; (b) where a separate order grants deliverables to you, the license and usage rights will be defined there. You grant us a non-exclusive right to display publicly releasable deliverables in our portfolio unless you opt out in writing.
7. Acceptable Use. You may not misuse the Services or deliverables, including for unlawful, infringing, defamatory, or deceptive purposes.
8. Third-Party Services. Our Services may integrate with or link to third-party platforms (e.g., Steam, App Store, Vercel, Instagram). Their terms and privacy policies apply to those services.
9. Confidentiality. Each party shall protect the other's confidential information with reasonable care and use it only to perform these Terms.
10. Warranties & Disclaimers. Except as expressly stated, the Services and deliverables are provided "AS IS" without warranties of any kind. We do not guarantee specific business results or audience metrics.
11. Limitation of Liability. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or related to the Services is capped at the amounts you paid to us in the 6 months preceding the event giving rise to the claim.
12. Indemnity. You will defend and indemnify us against third-party claims arising from your content, instructions, or misuse of the Services.
13. Termination. Either party may terminate for material breach if not cured within 10 days after written notice. Upon termination, accrued fees remain payable.
14. Governing Law & Venue. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts of laws. Exclusive jurisdiction and venue lie in the state and federal courts located in Sheridan County, Wyoming, USA. Mandatory consumer rights that cannot be waived under applicable law remain unaffected.
15. Changes. We may modify these Terms by posting an updated version with an effective date. Your continued use indicates acceptance.
